Это правило действует даже тогда, когда вы отчуждаете свою долю в рамках отступного. Данную позицию выразил Верховный Суд РФ в рамках дела № 310-ЭС24-9039
Суть дела:
Предприниматель обратился в арбитражный суд с иском к Управлению Росреестра о признании незаконными решений о приостановлении и отказе в государственной регистрации перехода права на долю в праве общей долевой собственности на земельный участок сельскохозяйственного назначения. Переход права осуществлялся по соглашению об отступном.
Позиция истца:
Истец утверждал, что решения Росреестра о приостановлении и отказе в регистрации перехода права незаконны и просил суд признать их недействительными, чтобы обеспечить регистрацию перехода права собственности на долю.
Позиция ответчика (Управление Росреестра):
Росреестр обосновывал приостановление и отказ тем, что при регистрации перехода права на основании соглашения об отступном необходимо соблюдать права других сособственников на преимущественную покупку доли. В деле отсутствовали документы, подтверждающие отказ остальных участников долевой собственности от покупки доли, либо сведения об их извещении об отчуждении. Поэтому регистрация была приостановлена и отказана законно.
Решения судов:
- Суд первой инстанции: Отказал истцу в удовлетворении требований, признав действия Росреестра законными.
- Суд апелляционной инстанции: Оставил решение первой инстанции без изменений.
- Суд кассационной инстанции: Отменила постановление кассационной инстанции, но при этом оставила без изменений решения судов первой и апелляционной инстанций.
Позиция Верховного Суда РФ:
Верховный Суд разъяснил, что передача имущества по соглашению об отступном является распоряжением имуществом, подлежащим правилам преимущественного права покупки, аналогично купле-продаже. Для регистрации перехода права необходимо соблюдение этих правил, включая уведомление сособственников и получение их отказа от покупки доли. В отсутствие подтверждающих документов регистратор вправе приостановить или отказать в регистрации. Нарушение права преимущественной покупки возможно до регистрации, и для защиты права предусмотрено средство в виде перевода прав и обязанностей покупателя, а не автоматический переход права собственности.
Решение Верховного Суда:
Верховный Суд подтвердил законность отказа и приостановления регистрации Росреестром в связи с отсутствием подтверждения отказа сособственников от покупки доли и отсутствием сведений об их уведомлении. Постановление кассационной инстанции было отменено, а решения судов первой и апелляционной инстанций оставлены в силе.
